1. About AFIN

AFIN Investment Services Private Limited is a private company incorporated on 10th March 2026 under the Companies Act, 2013, with the Registrar of Companies, Jaipur, bearing Corporate Identification Number (CIN) U66120RJ2026PTC112301. The Company operates in the finance sector as a mutual fund distributor and is registered with the Association of Mutual Funds in India (AMFI).

The authorized share capital of AFIN is Rs. 1,00,000, with a paid-up capital of Rs. 10,000. The registered office of the Company is located at City Corporate Tower, Rajasthan, India.

2. Eligibility

Our Services are intended solely for individuals who are at least 18 years of age, are legally competent to enter into a binding contract under the Indian Contract Act, 1872, and are eligible to invest in mutual funds in India under applicable law. By using our Services, you represent and warrant that you meet these eligibility requirements.

Investments on behalf of minors may be permitted only through a parent or legal guardian, in accordance with applicable regulations and the completion of requisite KYC and documentation.

3. Nature of Services

AFIN acts as a mutual fund distributor and facilitates the purchase, redemption, switch, and management of mutual fund schemes offered by various Asset Management Companies (AMCs). We are not an investment adviser registered under the SEBI (Investment Advisers) Regulations, 2013, unless expressly stated otherwise, and our Services do not constitute investment, legal, or tax advice.

Our website may also provide tools such as SIP calculators, goal planning calculators, and educational content. These tools are provided for illustrative and informational purposes only and rely on assumptions (such as expected rate of return) that may not reflect actual future performance.

4. Account Registration & KYC

To transact through our Services, you are required to complete a Know Your Customer (KYC) process, including submission of identity proof, address proof, PAN, and other documents as mandated by SEBI, AMFI, and KYC Registration Agencies (KRAs). You agree to provide accurate, current, and complete information during registration and to promptly update any changes.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Investment Transactions

All mutual fund investments made through our platform, whether by lumpsum or Systematic Investment Plan (SIP), are subject to the terms of the respective scheme's Scheme Information Document (SID), Statement of Additional Information (SAI), and Key Information Memorandum (KIM) issued by the relevant AMC.

• Mutual fund investments are subject to market risks. Please read all scheme-related documents carefully before investing.
• Past performance of any scheme is not indicative of future returns.
• NAV (Net Asset Value) allotment, transaction cut-off times, and settlement are governed by SEBI and AMFI regulations and are outside our control.
• We do not guarantee any specific return, yield, or outcome from any investment made through our Services.

6. Fees & Commissions

As a mutual fund distributor, AFIN may earn distribution commission from AMCs on the mutual fund schemes purchased through our platform, in accordance with applicable SEBI and AMFI regulations. Such commission does not result in any additional cost to you beyond the expense ratio and charges already disclosed in the relevant scheme documents.

7. User Obligations

By using our Services, you agree that you will not:

• Provide false, inaccurate, or misleading information.
• Use our Services for any unlawful purpose, including money laundering or financing of terrorism.
• Attempt to gain unauthorized access to our systems, other user accounts, or data.
• Interfere with or disrupt the operation of our website or Services.
• Copy, reproduce, or misuse any content, tools, or calculators available on our platform for commercial purposes without our written consent.

8. Intellectual Property

All content on our website, including text, graphics, logos, tools, calculators, and software, is the property of AFIN or its licensors and is protected under applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of our Services without our prior written permission.

9. Third-Party Services & Links

Our Services may contain links to, or integrations with, third-party websites, AMCs, payment gateways, or KYC Registration Agencies. We do not control and are not responsible for the content, accuracy, or practices of such third parties. Your use of any third-party service is subject to that party's own terms and policies.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AFIN, its directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of our Services, including but not limited to loss of investment value, loss of profits, or loss of data, except where such liability arises from our gross negligence or wilful misconduct.

Nothing in these Terms limits any liability that cannot be excluded or limited under applicable Indian law.

11. Indemnification

You agree to indemnify and hold harmless AFIN and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your breach of these Terms, your violation of any law, or your infringement of any third-party rights.

12. Suspension & Termination

We reserve the right to suspend or terminate your access to our Services, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or engaged in fraudulent or abusive conduct. You may also discontinue use of our Services at any time, subject to the completion of any pending transactions or regulatory obligations.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or our Services shall be subject to the exclusive jurisdiction of the courts at Jaipur, Rajasthan.

14. Grievance Redressal

If you have any concerns, questions, or complaints regarding these Terms or our Services, you may contact our Grievance Officer using the details in Section 16. We will endeavour to address your grievance within the timelines prescribed under applicable SEBI and AMFI regulations.

15. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our Services, business practices, or applicable law. The updated version will be indicated by a revised "Last updated" date. Your continued use of our Services after any such changes constitutes your acceptance of the revised Terms.
